SureKeep Terms and Conditions

1. Agreement

These Terms and Conditions ("Terms") form a binding agreement between you and SureKeep Inc ("SureKeep," "we," "us," or "our") regarding your use of the SureKeep mobile application and related services (the "App").

By downloading, installing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

2. Eligibility

To use SureKeep, you must:

• Be at least thirteen (13) years old.
• Have the legal capacity to enter into a binding agreement, or have your parent or guardian's permission if you are a minor under the age of legal majority in your jurisdiction.
• Not be barred from using the App under applicable law or under a previous SureKeep enforcement action.

We may verify your eligibility at any time and may suspend or terminate your access if you fail to meet these requirements.

3. Your Identity on SureKeep

• Anonymous identity. SureKeep generates a random unique identifier (UUID) on your device when you first launch the App. This UUID is your identity on the App. You do not need to provide a real name, email, or phone number.
• Optional profile. You may set an optional nickname, age, sex, and short status. You are responsible for what you choose to put in these fields.
• Optional account linking. You may link a Google or Facebook account to recover your UUID across reinstalls. Linking is voluntary.
• One person per identity. You may not impersonate another person, claim to be someone you are not, or share your UUID with others to use simultaneously.
• Loss of identity. If you lose your device or uninstall the App without linking an OAuth account, your UUID, profile, and local message history will be permanently lost. We cannot recover them.

4. License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your personal, non-commercial use, subject to these Terms.

You may not:

• Copy, modify, reverse-engineer, decompile, or attempt to extract the source code of the App, except as expressly permitted by law.
• Use the App in any way that is unlawful, fraudulent, or harmful.
• Use the App to build a competing product or service.
• Resell, sublicense, or commercialize access to the App.
• Use bots, scrapers, or automated tools to access the App or extract data.
• Interfere with or disrupt the App, its servers, or its networks.

5. Acceptable Use

You agree not to use SureKeep to:

• Harass, threaten, stalk, intimidate, or bully any person.
• Send unsolicited commercial messages, spam, or chain messages.
• Send sexually explicit content, especially to anyone you suspect or have reason to know is a minor.
• Send or publish content that exploits, sexualizes, or endangers minors. Sexual content involving minors is strictly prohibited and will be reported to law enforcement.
• Solicit, share, or distribute child sexual abuse material (CSAM) of any kind.
• Promote violence, terrorism, hate speech, or discrimination based on race, ethnicity, religion, sex, sexual orientation, gender identity, disability, or other protected characteristic.
• Engage in fraud, scams, phishing, or impersonation.
• Sell or solicit illegal goods or services, including drugs, weapons, or stolen property.
• Share another person's personal information without their consent ("doxing").
• Distribute malware, viruses, or other harmful code.
• Misrepresent your age or identity to interact with users you would not otherwise be permitted to interact with.
• Violate any applicable law of the Philippines or your jurisdiction.

We may, at our sole discretion, remove content, suspend, or terminate any account that violates these rules. We may also report suspected illegal activity to law enforcement.

6. User Content and Reports

• Your content, your responsibility. You are solely responsible for any content you create, send, or share through the App, including messages, profile information, and reports submitted about other users.
• License to operate the service. You grant us a limited, worldwide, royalty-free license to transmit, route, and temporarily store your content as necessary to operate the App (for example, to deliver a message to its recipient or hold it for up to seven days while the recipient is offline). This license ends when the content is delivered or expires from our queue.
• No content storage on your behalf. SureKeep is not a backup or archive service. We do not store your message content long-term, and we are not responsible for any loss of message history.
• Reports. You may report another user for violating these Terms via the in-App report feature. We review reports at our sole discretion and may take action including warning, suspension, or termination of the reported user's account. We do not promise specific action on any individual report.

7. Privacy

Our collection and use of your information is described in our Privacy Policy, which is part of these Terms. Please read it carefully.

8. Location Services

• The App requires access to your device's location to function. By using the App, you consent to our collection and use of location data as described in the Privacy Policy.
• Your approximate location is shared with other nearby users as part of the core map feature. You may disable map visibility in Settings to hide your location from other users (you will still be using the App but will not appear on their maps).
• Location accuracy depends on your device's GPS and other systems. We are not responsible for inaccuracies.

9. Third-Party Services

The App uses third-party services such as Mapbox (maps), Amazon Web Services (hosting), and optionally Google Sign-In and Facebook Login. Your use of those services may be subject to additional terms and privacy policies maintained by those providers. We are not responsible for the availability, content, or practices of third-party services.

10. Disclaimers and Important Limitations

Please read this section carefully — it limits our responsibility.

• Anonymity is not guaranteed. While SureKeep does not require your real identity, you should not assume you are completely anonymous. Other users may try to identify you based on what you say or share. Our service providers, law enforcement (with valid legal process), and we ourselves can see certain information you generate (see Privacy Policy).
• No verification of users. We do not verify the age, identity, intentions, or trustworthiness of other users. Use caution when interacting with people you meet on SureKeep, especially if you arrange to meet them in person.
• Service availability. The App is provided "as is" and "as available." We do not promise the App will always be available, error-free, or uninterrupted, or that it will meet your specific needs.
• No warranties. To the maximum extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent allowed by Philippine law:

• We are not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the App, including lost profits, lost data, or emotional distress, even if we have been advised of the possibility of such damages.
• Our total cumulative liability to you for any claim arising out of or relating to the App or these Terms will not exceed the amount you have paid to us in the twelve (12) months immediately preceding the claim.
• Some jurisdictions do not allow the exclusion or limitation of certain damages. If you are in such a jurisdiction, the limits above apply only to the extent permitted.

Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, gross negligence, or any liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless SureKeep, SureKeep Inc, its officers, directors, employees, and contractors from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of:

• Your use of the App.
• Your violation of these Terms.
• Your violation of any law or third-party right.
• Any content you submit, send, or share through the App.

13. Suspension and Termination

• By you. You may stop using the App at any time and uninstall it. To delete your data from our servers, follow the process in the Privacy Policy.
• By us. We may suspend or terminate your access to the App at any time, with or without notice, for any reason — including if we believe you have violated these Terms, engaged in unlawful conduct, or harmed other users or our service.
• Effect of termination. On termination, your right to use the App ends immediately. Sections of these Terms that by their nature should survive termination — including Sections 6, 10, 11, 12, 16, and 17 — will survive.

14. Changes to the App

We may add, modify, or remove features of the App at any time without notice. We may also stop offering the App entirely. We are not liable to you or any third party for any modification, suspension, or discontinuation of the App.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the App or other reasonable means and update the "Last updated" date above. Your continued use of the App after the change means you accept the new Terms.

16. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules.
• Any dispute, controversy, or claim arising out of or relating to these Terms or the App will be brought exclusively in the appropriate courts of Cebu, Philippines, and you and we consent to the personal jurisdiction of those courts.
• Before filing a formal claim, you agree to first contact us at legal@surekeep.xyz and attempt to resolve the dispute informally for at least thirty (30) days.

Nothing in this section limits any rights you have as a consumer under Philippine consumer-protection laws that cannot be waived by agreement.

17. Other Terms

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the App and supersede any prior agreements.
• Severability. If any part of these Terms is held unenforceable, the remaining parts continue in full force.
• No waiver. Our failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.
• Assignment. You may not assign or transfer these Terms or any rights under them without our consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale.
• Headings. Section headings are for convenience only and do not affect interpretation.
• Notices. Notices to you may be given through the App or by email. Notices to us must be sent to legal@surekeep.xyz or to Cebu City.
